Terms & Conditions

1. Definitions: “Company” refers to Fega Repair Ltd., including its subsidiaries and affiliates. “Client” means the party entering into this agreement for the provision of services. “Services” comprise all repair, maintenance, shipbuilding, workshop, conversion, and related activities as specified in the service order.

2. Scope of Agreement: These Terms & Conditions, together with any quotation, work order, or agreement signed by both parties, constitute the entire agreement. No additional terms proposed by the Client shall bind the Company unless expressly accepted in writing.

3. Service Proposal & Confirmation: The Company shall issue a written proposal outlining the scope, price, timeline, and specifications. The Client’s written acceptance or payment of the initial deposit confirms the order. Any changes requested after confirmation require a written variation order and may incur additional fees and timeline adjustments.

4. Price & Payment: Unless otherwise agreed, all fees are payable 50% as a deposit upon contract signing and 50% upon completion and acceptance. Payment terms are net 14 days from invoice date. Late payments incur interest at 1.5% per month and may result in suspension of Services until account settlement.

5. Taxes & Duties: All amounts stated exclude VAT, customs duties, port charges, and any other applicable taxes, which shall be the Client’s responsibility. The Company may adjust pricing to reflect changes in tax rates or import/export duties.

6. Delivery & Performance Timeline: The Company shall make all reasonable efforts to complete Services within the agreed timeframe. Delivery dates are estimates and may be extended due to force majeure, regulatory inspections, parts availability, or Client-induced changes.

7. Client Obligations: The Client shall provide accurate vessel specifications, safe access to work areas, necessary permits, and shore power supply. Delays, additional costs, or risks arising from incomplete or inaccurate information remain the Client’s liability.

8. Quality & Warranty: The Company warrants that Services will be performed with due care and skill in accordance with industry practices. A 12‑month warranty on workmanship and replaced parts applies from the date of completion. Warranty excludes normal wear and tear, improper use, or unauthorized modifications.

9. Liability & Indemnity: The Company’s total liability for loss or damage shall not exceed the total fees paid under the relevant service order. The Company is not liable for indirect, consequential, or exemplary damages. The Client shall indemnify the Company against third-party claims arising from the Client’s negligence or breach.

10. Force Majeure: Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, strikes, supply chain disruptions, or regulatory directives. The affected party shall notify the other promptly and resume obligations when feasible.

11. Confidentiality: Both parties agree to treat all proprietary information, technical data, and business practices as confidential. This obligation survives termination for a period of five years.

12. Intellectual Property: All designs, drawings, and technical reports produced by the Company remain its intellectual property unless otherwise agreed. The Client may use these materials solely for purposes of the contracted Services.

13. Termination: Either party may terminate for material breach if the other fails to remedy such breach within 30 days of written notice. Upon termination, the Client shall pay for all Services rendered and materials procured to the date of termination.

14. Governing Law & Jurisdiction: This agreement is governed by the laws of the Republic of Turkey. Disputes shall be resolved exclusively by the courts of Istanbul.

15. Severability: If any provision is deemed invalid, the remaining provisions shall continue in full force. The invalid provision shall be replaced by a valid one reflecting the original intent.

16. Acceptance: By using or requesting Services, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions in their entirety.
